UpCloud Ltd (“we” or “UpCloud”) offer new UpCloud customers the opportunity to participate in the following “EU5000” Free Trial campaign (the “Campaign”), subject to the terms and conditions set forth below (the “Campaign Terms”). The Campaign and the use of UpCloud services are subject to and governed by UpCloud Terms of Service available at https://upcloud.com/global/terms-of-service. All capitalised terms used in these Campaign Terms shall have the same meaning as ascribed to them in the Terms of Service, unless otherwise defined.

1. Eligibility

This Campaign is open exclusively to businesses based in Europe that meet all the following conditions:

• You must be a registered company in Europe (EU + EEA + the UK) with a valid VAT-ID.
• You must have a valid business email address.
• You must have a functioning business website that runs on the same email domain.
• Participation is limited to new customers signing up through the dedicated promotion code.

The campaign is fully self-service – no direct sales contact is required to get started. After you sign up, a manual validation is performed by UpCloud to confirm your eligibility.

2. Free Credit & resource limitations

Provided that your application is approved, you will receive €5000 worth of Free Credit to your UpCloud Account, to be used for the consumption of UpCloud Services. The Free Credit will remain valid for three (3) months from the activation date after which they will be forfeited. The Free Credit have no monetary value and may not be redeemed for cash. The Free Credit are not transferable and may not be auctioned, traded, bartered, or sold.

The following resource limitations shall apply to your use of the Free Credit:

• Cloud Servers: Max 20 servers
• CPU capacity: Max 100 CPU’s allocated
• RAM: Max 300 GB of RAM allocated
• Block storage: Max 10 TB of total block storage capacity
• IPv4 addresses: Max 20
• IPv6 addresses: Unlimited
• Managed Databases: Max 5 databases
• Managed Kubernetes: Max 2 Managed Kubernetes deployments
• Other services: No restrictions

These limitations ensure fair usage during the Free Trial period.

3. Validation timeline

We will notify you within 24 hours of your sign-up whether your application is:

• Approved – You’ll receive access to the Free Credit worth of €5000, valid for 3 months.
• Declined – If you’re not eligible, your application will be rejected.
• Pending further info – If clarification is needed, we’ll request more information.

4. Other Terms

UpCloud reserves the right to modify, suspend, or terminate this Campaign or its terms at any time, for any reason, and without prior notice. This includes but is not limited to changing eligibility criteria, adjusting available resources, or ending the promotion early. UpCloud reserves the right to determine, in its sole discretion, whether you are eligible to participate in this Campaign and shall have no liability to you or any third party for the decision.

To the fullest extent possible by law, UpCloud’s (including its affiliates’) maximum liability arising out of or in connection with the campaign, regardless of the cause of action (whether in contract, tort, breach of warranty, or otherwise), shall not exceed €100.

These Campaign Terms are governed by the laws of Finland, with the exception of any conflict of law principles. Any dispute, controversy or claim arising out of or relating to the Agreement, or the breach, termination or validity thereof, shall be finally settled by arbitration in accordance with the Arbitration Rules of the Finland Chamber of Commerce. The seat of arbitration shall be Helsinki, Finland, and the language of the arbitration shall be English.
